1. Acceptance of terms

By creating an account or using Pippy Post ("Service"), operated by Zebbly LLC, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you and Zebbly LLC.

2. Description of service

Pippy Post is a greeting delivery platform that automatically sends email greetings to contacts you designate, on birthdays, anniversaries, and other occasions you configure. The Service includes access to artist-created greeting images, AI-assisted image selection, and scheduling tools.

Pippy Post is a facilitator, we transmit messages on your behalf using your contacts' information that you provide. You, not Pippy Post, are responsible for having proper consent from those contacts.

3. Account registration

You must be at least 18 years old to create an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate information during registration and keep it up to date. You may not share your account or create accounts on behalf of others without authorization.

4. Messaging, adding contacts and recipient choices

How contacts are added: You, the account holder, add your contacts' names and email addresses through the Pippy Post web application. By adding a contact, you represent and warrant that:

• You personally know the contact and the email address belongs to them
• The contact is at least 13 years old
• You will not add individuals who have previously asked not to receive messages
• You will promptly remove any contact who asks you to stop sending them greetings

Adding a contact does not send them anything. The first email a contact receives is a greeting you schedule, which identifies you as the sender.

Opt-out: every email a contact receives includes a one-click unsubscribe link. It takes effect immediately and cancels scheduled greetings from that sender. The recipient can also stop all greetings through Pippy Post from the same page, which overrides every sender including anyone who adds them later. Contacts may also email hello@pippypost.com.

Message frequency: contacts typically receive one greeting per occasion per year, plus any greetings you manually initiate.

Your compliance responsibility: You are solely responsible for ensuring your use of the Service complies with applicable laws, including the CAN-SPAM Act. Pippy Post is not liable for claims arising from contacts you add or messages sent at your direction.

5. Subscriptions and billing

Free plan: Available at no cost with limits on the number of contacts and access to in-house greeting images only.

Paid plans: Plus, Premium and Business plans are billed monthly via Stripe. Current pricing is available at pippypost.com/pricing. Prices are in USD and subject to applicable taxes.

Cancellation: You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not provide refunds for partial periods.

Price changes: We will give at least 30 days' notice before changing subscription prices. Continued use after a price change constitutes acceptance of the new price.

Failed payments: If a payment fails, we may downgrade your account to the Free plan after a grace period. We will attempt to notify you by email before doing so.

6. Artist marketplace

For users: Some greeting images carry a per-send fee set by the artist. By approving a preview that uses a paid image, you authorize the per-send charge. Paid images are available to Plus, Premium and Business plan subscribers only. Per-send fees are non-refundable once a message has been delivered.

Business licences — permitted use. A business plan may licence an artist's image for a fixed term instead of paying per send. That licence permits one thing: sending greetings through Pippy Post to your own client list, for the term of the licence. It grants no other right to the artwork.

You may not download, copy, modify, crop, redistribute, sublicense, or display licensed artwork anywhere outside Pippy Post. That includes your website, social media, email templates you build yourself, printed materials, advertising, signage, packaging, merchandise, and any product or service you sell. You may not remove or obscure the artist's attribution, and you may not present the artwork as your own or as commissioned work. The artist keeps all ownership at all times.

A licence ends when its term ends or your subscription lapses, whichever comes first, and any right to use the artwork ends with it. Use outside this licence is copyright infringement, is not something Zebbly LLC indemnifies you for, and is grounds for immediate termination of your account. If you want an artist's work for any other purpose, contact the artist directly and negotiate with them; we are not a party to it.

For artists: Artists retain 100% ownership of their artwork. Artist uploads are governed by a separate Artist Agreement, under which artists grant Zebbly LLC a limited, non-exclusive license to deliver artwork as digital greeting cards and to market the service with attribution, and nothing more. If that agreement and these Terms conflict regarding artwork rights, the Artist Agreement controls.

Explicit, adult, or sexually suggestive content is not permitted on Pippy Post. All artwork must be appropriate for a general audience of all ages. Submissions containing such content will be rejected during review, and repeated submissions may result in removal from the artist program.

Artists receive payouts via Stripe Connect. Zebbly LLC may retain a platform fee on each paid send; the remainder is paid to the artist. The fee is set per artist and shown on the artist's dashboard, and artists joining now pay no fee. Payouts are subject to Stripe's payout schedule. Artists are responsible for their own tax obligations. Stripe may issue 1099-K or equivalent forms where required by applicable law.

We reserve the right to remove artwork that violates these Terms, our Artist Guidelines, or applicable law, at our sole discretion and without prior notice.

7. Prohibited uses

You may not use Pippy Post to:

• Send unsolicited messages (spam) or messages to contacts who have not consented
• Harass, threaten, defame, or harm any individual
• Upload or distribute illegal, obscene, or infringing content
• Impersonate any person or entity
• Attempt to gain unauthorized access to the Service or its systems
• Reverse engineer, scrape, or systematically extract data from the Service
• Use the Service to send commercial marketing messages unrelated to birthday or occasion greetings
• Violate any applicable law or regulation

Violation of these rules may result in immediate account suspension or termination without refund.

8. Content and intellectual property

Pippy Post, its brand, and its in-house content are owned by Zebbly LLC and protected by copyright, trademark, and other intellectual property laws. Artist-uploaded content is owned by the respective artists subject to the license in Section 6.

You may not reproduce, distribute, sublicense, or create derivative works from any content on the Service without explicit written permission from the owner.

You retain ownership of any personal content you upload (e.g., custom notes to contacts). By using the Service, you grant us a limited license to process that content solely to provide the Service to you.

DMCA: If you believe content on the Service infringes your copyright, send a takedown notice to hello@pippypost.com with: (a) a description of the copyrighted work, (b) the URL of the infringing material, (c) your contact information, and (d) a statement of good-faith belief and accuracy under penalty of perjury.

9. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT GUARANTEE THAT MESSAGES WILL BE DELIVERED AT A SPECIFIC TIME OR AT ALL, AS DELIVERY DEPENDS ON THIRD-PARTY CARRIERS AND MOBILE NETWORKS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEBBLY LLC'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $50, WHICHEVER IS GREATER. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Zebbly LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law, including TCPA, in connection with your use of the Service; (d) your failure to obtain proper consent from any contact you add; or (e) any content you upload to the Service.

11. Termination

You may delete your account at any time from Settings. We may suspend or terminate accounts that violate these Terms, with or without notice, at our sole discretion. Upon termination, your right to use the Service ends immediately and we may delete your data in accordance with our Privacy Policy. Sections 6 (artist license), 8, 9, 10, 12, and 13 survive termination.

12. Dispute resolution and arbitration

Informal resolution first: Before filing a claim, you agree to contact us at hello@pippypost.com and give us 30 days to resolve the dispute informally.

Binding arbitration: If the dispute is not resolved informally, it shall be settled by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, in San Francisco, California, or by telephone or video conference if agreed. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver: YOU AND ZEBBLY LLC EACH AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.

Exceptions: Either party may bring an individual action in small claims court. Either party may seek emergency injunctive relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.

13. Governing law

Except as modified by Section 12, these Terms are governed by the laws of the State of Connecticut, without regard to conflict of law principles.

14. Changes to these terms

We may update these Terms at any time. For material changes, we will notify you by email at least 14 days before the new Terms take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to updated Terms, you must stop using the Service and may delete your account.
